TERMS OF SERVICE

The following is a preliminary scope of work discussed and is subject to change once the agency establishes a full scope of detailed requirements.

The Agency is being recruited to assist in the following:

Consult with Client and establish project timelines and expectations.
Develop Google Ads marketing strategy and implementation. Develop, create, and manage design, copy & content marketing strategy for ad campaigns.
Build, optimize, manage and report on Google Ads advertising campaigns.
Provide Additional Digital and Design services as per the inclusions of each plan.
Fortnightly or Monthly meetings as per plan to assess strategy, goals and expectations.

Specific timeframes of deliverables will be provided to customer but are subject to change in the occurrence of unforeseeable events or circumstances beyond the agency’s control.

The Customer may avail from the Agency for consultation on the nature, timing and extent of these services either via email, over the telephone, in person, or at Customer’s office.

The Client must provide a 30-day notice to the Agency to terminate management.

A minimum 3 month period is recommended for testing multiple audiences but not mandatory.

Late payments or failure of payments will result in immediate cessation of all work carried out by the Agency. All work remains the sole right of the Agency until payment is made.

Commencement is scheduled on the date of Customer signing this agreement. By availing of the Agency’s payment plan, both parties agree to the terms of service.

MUTUAL INDEMNIFICATION:

Both parties will, at their own expense, defend, indemnify, and hold the other, its agents, and employees harmless from any and all claims, actions, liabilities, injuries, damages, losses, grants, costs, and expenses, including attorney fees, arising out of or in connection with any use of the Program(s) of this Agreement.

The Client agrees that the Agency may, from time to time, share testimonials and results achieved as a result of services provided for marketing purposes. The Client can request that personal and brand information be omitted from case studies and testimonials.

NO DISPARAGEMENT OR MISAPPROPRIATION

At no time (i.e., indefinitely) following the signing of this agreement shall the Client make any statements online or offline, or take any other actions whatsoever, to disparage, defame, sully or compromise the goodwill, name, brand or reputation of the Agency or commit any other action that could likely injure, hinder or interfere with the Agency’s business, business relationships or the Goodwill of the Agency.
